INVESTOR RELATIONS DEPARTMENT DUTIES AND OPERATING PRINCIPLES

Purpose of the Investor Relations Department

The Investor Relations Department ensures compliance with legislation, the articles of association, and other internal company regulations in the exercise of shareholder rights, and takes measures to ensure the exercise of these rights. In this study, it will be referred to as the Investor Relations Department of İhlas Gazetecilik A.Ş. (the Company).

Basis for the Establishment of the Department

Shareholders have a special place and importance within the structure of joint-stock companies. As a shareholder, they possess ownership of the company’s assets in an economic sense. As a result, they have not only property rights but also managerial rights to ensure the exercise of these property rights. In this context, in line with the principles contained in the Capital Market Board’s Corporate Governance Principles, the scope of shareholders’ right to information has been expanded, and it has been recommended that a provision be included in the articles of association to make this right more effective.

Scope and Authority of the Division

The Division operates in the area of ​​shareholder rights, reports to the Board of Directors, and facilitates communication between the Board of Directors and partners and shareholders. It monitors all relationships between partners and investors and ensures that their right to information is fully met within the framework of the company’s information policy.

Responsibilities of the Division

The Division:

It completes a sufficient number of expert personnel.

It organizes or participates in periodic investor information meetings domestically and internationally within the framework of legislation, articles of association, corporate governance principles, and information policy.

It ensures that shareholder records are kept in a sound, secure, and up-to-date manner.

It responds to written information requests from shareholders regarding the company, excluding information that is not publicly disclosed, confidential, or of a trade secret nature.

It does not discriminate among shareholders in the exercise of the right to access and inspect information.

It ensures that activity reports are prepared in accordance with the legislation and the Capital Markets Board’s Corporate Governance Principles.

It ensures that General Assembly meetings are held in accordance with the current legislation, the articles of association, and other internal company regulations.

It prepares documents that shareholders can use at General Assembly meetings.

It carries out the necessary work to ensure that meeting minutes are kept in accordance with the procedures.

It ensures that voting results are recorded and that reports on the results are sent to shareholders.

It monitors and examines all matters related to public disclosure, including legislation and the company’s “Information Policy”.
